Life Rafts for Underwater Options
As the stock market downturn affects high growth and technology companies, many companies face equity compensation arrangements that have lost value. The speakers will address alternatives for modifying these "underwater" equity compensation arrangements, including making additional grants, repricing options, and exchanging options for restricted stock or restricted stock units. Discussion points will include: What are companies doing to provide compensation benefits if options are underwater (quantitative and anecdotal data), What are the securities, tax and accounting implications of these solutions, What NYSE and Nasdaq rules apply, What are the implications for relations with institutional shareholders.
